Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website (duzzle.dev), software-as-a-service offerings (e.g., Shanone), and any associated software, apps, and websites (collectively, the "Services") provided by Duzzle Inc. ("Duzzle", "we", "our", or "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
Acceptance of Terms
By creating an account, connecting an integration, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You must be at least 18 years old to use the Services. We may update these Terms from time to time; continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
The Services
Shanone is a control platform that lets you connect AI agents and agent harnesses (e.g., Cursor, Claude Code, Codex) to third-party tools and services (e.g., Slack, Linear, GitHub, Notion) through a managed set of tools, with fine-grained, per-action access control.
We may add, modify, or discontinue features of the Services at any time, and we will make reasonable efforts to notify you of material changes that affect your use of the Services.
Accounts
You are responsible for:
- Providing accurate and complete information when creating your account
- Maintaining the confidentiality of your account credentials, API keys, and access tokens
- All activity that occurs under your account, whether authorized by you or not
- Notifying us promptly of any unauthorized use of your account
Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party right
- Access, tamper with, or use non-public areas of the Services without authorization
- Probe, scan, or test the vulnerability of the Services or any related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by law
- Use the Services to grant an agent or integration broader access than you are authorized to grant
Third-Party Integrations
The Services allow you to connect third-party tools and platforms ("Integrations"). Your use of any Integration is subject to the terms and privacy policies of the relevant third party, and Duzzle is not responsible for the availability, content, or practices of those third parties.
You are solely responsible for configuring the permissions, schemas, and access controls you grant to each Integration and to each agent that uses the Services, including which tools and parameters each member or agent may access.
Fees and Billing
Certain features of the Services require payment of fees as described on our pricing page. Fees are billed in advance on a recurring basis unless otherwise stated, and are non-refundable except as required by law or expressly stated in these Terms.
We may change our fees upon reasonable notice. Continued use of paid features after a fee change takes effect constitutes acceptance of the new fees.
Intellectual Property
Duzzle and its licensors retain all right, title, and interest in and to the Services, including all related software, designs, trademarks, and documentation. These Terms do not grant you any rights to use Duzzle's trademarks or brand assets except as expressly permitted in our brand guidelines.
You retain ownership of any content, data, or configuration you submit to the Services ("Customer Data"). You grant Duzzle a limited license to use Customer Data solely to provide and improve the Services.
Termination
You may stop using the Services or delete your account at any time. We may suspend or terminate your access to the Services if you violate these Terms, if required by law, or if we discontinue the Services, with notice where reasonably practicable.
Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.
Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUZZLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Governing Law
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
